Terms of Service

1. Who sells to you

You contract with Hikmah Technologies, Navi Mumbai, India, wherever your organisation is registered. How you pay depends on where it is registered:

• Registered in India: you pay in Indian rupees through Razorpay, and we add GST.
• Registered anywhere else: you pay in US dollars through PayPal. We charge no GST, because the service is an export from India.

We decide this when you ask for the trial, from the country you give, your email domain, a GSTIN and the country you write from. If they disagree, we ask you whether your company is registered in India, and your answer decides. You are responsible for answering truthfully. In these terms, "we" means Hikmah Technologies, and "you" means your organisation.

2. The service

AuditEase Pro is internal audit software. On a self-serve plan you get your own workspace: its own application, its own database and its own file storage, at your-name.auditeasepro.com or on a subdomain of your own. Nothing in it is shared with other customers.

We may improve and change the software. We do not remove a feature your plan includes during a period you have paid for.

3. The free trial

The trial lasts 15 days from the day we send you the link to your workspace. It includes the Team plan's features. It is free, and we do not ask for a card. One trial per organisation.

We may decline a trial request, for example from a personal email address or when we cannot tell which organisation it is for.

4. Plans, seats and payment

Prices are on our pricing page, at www.auditeasepro.com/pricing. Indian customers pay in rupees through Razorpay, with GST at 18 % on top, and we send a GST tax invoice. Customers outside India pay in US dollars through PayPal, without GST: the service is an export of services from India under a Letter of Undertaking, and our invoice says so. Any tax, duty or bank charge in your own country is yours. You pay in advance, monthly or yearly.

A seat is a user in the Audit Team or Quality Assurance role. Business owners and the audit committee are free and unlimited. If you use more seats than your plan includes, we ask you to add extra seats or move to a larger plan.

A monthly plan paid through Razorpay uses a mandate: your bank asks you to approve it once, and you get a notice at least 24 hours before each charge. Indian rules cap such a charge at ₹15,000. That is why Starter monthly in rupees allows at most two extra seats.

We may change prices for the next period with at least 30 days' notice by email. A change never applies to a period you have already paid for.

5. When the trial ends or a payment stops

If the trial ends without a plan, these steps follow. Days count from the day we sent you the workspace link:

• Day 15, the day after the trial's last day: your workspace becomes read-only. You and your users can still sign in, read and export everything, but not change anything.
• Day 30: we suspend the workspace. Nobody can sign in. Your data is kept.
• Day 60: we delete the workspace, its data and its uploaded documents. Before that we take a final backup of your database, which we keep for 90 days in case you come back, then delete. The final backup does not include your documents, so export them before the deletion day.

The same steps follow when a paid plan ends without renewal: read-only the day after the paid period ends (or after the payment provider stops retrying a failed renewal), suspended 15 days later, deleted 30 days after that, with a final backup of your database kept 90 days, as above. Export your documents before the deletion day: they are deleted with the workspace. We email you before each step. A payment at any point before deletion restores the workspace within minutes.

6. Cancelling, and refunds

You can cancel at any time by email. The workspace stays fully usable until the end of the period you have paid for; then the steps in section 5 follow.

If you ask within 14 days of your first payment, we refund that payment in full. After that we do not refund part of a period, but cancelling stops the next charge.

7. Hosting and availability

During the launch period, AuditEase Pro self-serve runs on Hikmah Technologies' own infrastructure in India. We make no uptime guarantee and give no service credits. Our target is 99 % availability in each month.

We email you about any outage longer than 30 minutes, and about planned maintenance at least 48 hours ahead. Your files, and an encrypted backup of your data taken every hour, are stored with Amazon Web Services in Mumbai, India, outside our own infrastructure. You can ask for a full export of your data at any time.

We will tell you by email before we move workspaces to other infrastructure.

8. Your data

Everything you and your users put into your workspace is yours. We use it only to run the service for you, and we do not look at it unless you ask us to, for example to help with a problem, or the law requires it.

On request we give you a full export: a database dump and your files. Our Privacy Policy explains what we do with personal data.

9. Your responsibilities

You are responsible for who you invite and what your users do in the workspace. Please do not:

• use the service for anything unlawful, or store data you have no right to store;
• try to reach another customer's workspace, test our security or load without our written agreement, or get around the plan's limits;
• resell the service or give access to people outside your organisation, other than your auditees and audit committee.

10. AI features

AI drafting is off unless you turn it on. If you connect your own AI provider's key, that provider's terms apply between you and them, and you pay them directly. Your auditors review and approve every draft; the AI's output is not our advice.

11. Liability

We provide the service with reasonable skill and care. Beyond what these terms promise, we give no warranty that it suits a particular purpose or is free of errors.

Neither side is liable to the other for indirect or consequential loss, or for lost profit. Our total liability to you for anything arising from these terms is limited to what you paid us in the 12 months before the claim. Nothing in these terms limits liability that the law does not allow to be limited.

12. Changes to these terms, and the law

We may update these terms. For a change that matters, we email your workspace's admin at least 30 days before it applies. The version date is at the top of this page.

The laws of India apply to these terms, and the courts of Mumbai decide disputes, wherever your organisation is registered.
